TerraVex Portal Terms of Use

These Portal Terms of Use (the "Portal Terms") apply to you when you use a client portal or a public page that a pest control company (your "Pest Control Company") sends you through TerraVex: for example, a proposal, estimate, inspection or service record, invoice, booking page, payment page, or a document to sign (together, the "Portal"). The Portal is software provided by TerraVex LLC, a Florida limited liability company ("TerraVex", "we"). By ticking the acceptance box when you first sign in to the Portal, or by paying, booking, approving, or signing through a public page, you accept these Portal Terms. If you do not agree, do not use the Portal; you can deal with your Pest Control Company directly instead.

1. Who you are dealing with

1.1 Your Pest Control Company is your service provider. It sets its prices, schedules the work, inspects your property, chooses and applies any products, prepares your inspection reports and service records, issues your invoices, and handles warranties, retreatments, refunds and complaints. Any agreement about the pest control service is between you and the Pest Control Company. 1.2 TerraVex provides the software the Pest Control Company uses. TerraVex is not a party to your agreement with the Pest Control Company and does not perform, guarantee, insure, or supervise pest control services, inspections or treatments. 1.3 Reports and records come from your Pest Control Company. Inspection reports (including wood-destroying organism or termite reports), service records, application records and treatment plans you see in the Portal are prepared by your Pest Control Company and its licensed personnel. TerraVex does not inspect your property and does not certify, sign or approve any report. Questions about a report, a product used at your property, or a treatment go to your Pest Control Company, which is licensed by your state's pesticide regulator. 1.4 Product information. Any product name, EPA registration number, label or safety data sheet (SDS) link shown in the Portal is provided by your Pest Control Company for your information. For questions about a product or a possible exposure, ask your Pest Control Company, follow the label, and in an emergency call 911 or Poison Control (1-800-222-1222 in the United States).

2. Payments

2.1 Online payments are processed by Stripe on the Pest Control Company's own Stripe account. The Pest Control Company is the merchant of record; the charge on your statement is from the Pest Control Company. TerraVex does not hold your money and does not store your full card number. 2.2 Refunds, disputes, and receipts are handled by your Pest Control Company. If you dispute a charge with your bank, the dispute is between you and the Pest Control Company. 2.3 A tip you add on a payment page is passed to the Pest Control Company for its technicians.

3. Text messages and email

3.1 You receive text messages only if you opted in, by ticking the consent box on a booking page (unticked by default) or by telling the Pest Control Company yes. Service texts are about your service: confirmations, reminders, "on my way" notices, service records and invoice links, and a request for a review. If you have also agreed to marketing texts, your Pest Control Company may send you offers and reminders to book, only between 8 AM and 8 PM in your local time. Message and data rates may apply. Reply STOP to stop and HELP for help. 3.2 You will receive up to four service texts per scheduled service; how often you hear from us depends on how often you book. Consent to receive texts is not a condition of booking any service.

3.3 Your mobile number is used only to send these messages and is never sold or rented. No mobile information is shared with third parties or affiliates for marketing or promotional purposes. Text messaging originator opt-in data and consent are excluded from every other category of sharing described in these Terms, and that information is not shared with any third party.

4. Your information and your property

4.1 The Pest Control Company controls the information it keeps about you, including your address, any entry details (gate, alarm or lockbox codes, key location, pets, instructions), plans and photos of your property, inspection findings, and records of treatments at your property. TerraVex processes that information on the Pest Control Company's behalf under the TerraVex Privacy Policy (https://app.terravexos.com/legal/privacy) and Data Processing Addendum. To see, correct, or delete your information, ask your Pest Control Company; TerraVex will help it respond. Your Pest Control Company may be required by law to keep application records and inspection reports about your property for a period of years, even if you ask it to delete them. 4.2 If the Pest Control Company records a walkthrough of your property or takes photos during an inspection or service, it does so under its own arrangement with you. If you send photos of your property through a video-estimate link, you choose with an unticked box whether AI may read them to help prepare an estimate; if you tick it, the photos and your note are sent to OpenAI, an AI service that does not use them to train its models (see https://app.terravexos.com/legal/ai). If you leave it unticked, no AI reads them and the Pest Control Company reviews them itself. AI never decides what treatment your property gets. 4.3 You can delete your Portal login from the Portal's account menu (tap your initials, then Delete my account) at any time. The same menu links to the Privacy Policy and these terms, and lets you contact the Pest Control Company or TerraVex support. Your Pest Control Company keeps its own business records about you.

5. Signing documents

When you sign a document through the Portal, you agree to sign electronically and that your electronic signature is as binding as a handwritten one (U.S. ESIGN Act). The Portal records the date, time, IP address and browser used to sign, and gives both you and the Pest Control Company a copy.

6. Using the Portal

You will use the Portal only for your own dealings with the Pest Control Company, keep your sign-in private, and not attempt to access anyone else's information or to interfere with the Portal.

7. No warranties

THE PORTAL IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PORTAL WILL BE UNINTERRUPTED OR ERROR-FREE. Nothing in these Portal Terms limits any warranty or guarantee your Pest Control Company gives you about its services.

8. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TERRAVEX WILL NOT BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR THE ACTS OR OMISSIONS OF YOUR PEST CONTROL COMPANY (INCLUDING ANY INSPECTION, REPORT, OR TREATMENT), AND TERRAVEX'S TOTAL LIABILITY TO YOU ARISING OUT OF THE PORTAL WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (USD 100). Some jurisdictions do not allow certain limitations; to that extent they apply as far as the law permits. Nothing limits liability for fraud, willful misconduct, or death or personal injury caused by negligence where it cannot be limited by law.

9. Disputes with TerraVex

9.1 Talk to us first. If you have a dispute with TerraVex about the Portal, email legal@terravexos.com and we will try to resolve it with you within 30 days. 9.2 Arbitration. Any dispute between you and TerraVex that we cannot resolve will be settled by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, in the county where you live or by video, in English. TerraVex will pay any filing and arbitrator fees above what you would pay to file in court. Either of us may instead bring an individual claim in small-claims court. The arbitrator decides arbitrability. If the AAA is unavailable, JAMS will administer the arbitration under its comparable rules. 9.3 No class actions. TO THE EXTENT PERMITTED BY LAW, DISPUTES WILL BE RESOLVED ONLY ON AN INDIVIDUAL BASIS AND NOT AS A CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION, AND YOU AND TERRAVEX EACH WAIVE ANY RIGHT TO A JURY TRIAL. If this waiver is found unenforceable for a claim, that claim proceeds in court and the rest of this section still applies. 9.4 Opt-out. You may opt out of arbitration by emailing legal@terravexos.com within 30 days of first accepting these Portal Terms, with your name, the email you use for the Portal, and a statement that you opt out. Opting out does not affect any other part of these Portal Terms. 9.5 Law. These Portal Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules, and, where a court action is permitted, by the courts located in Santa Rosa County, Florida or in the county where you live. 9.6 Disputes with your Pest Control Company are between you and it and are not covered by this section.

10. Changes

We may update these Portal Terms. Changes take effect when posted with a new date, and we will ask you to accept material changes the next time you sign in to the Portal. Changes do not apply to disputes that arose before their effective date.
